Managing directors and social security

Status determination for managing directors: procedure, consequences and wrongly paid contributions

Many shareholder managing directors do not know for certain whether they are subject to social security contributions. Payroll has run for years the way it was first set up, and nobody has asked the question since. That is expensive in both directions. If you are wrongly treated as self-employed, you risk back payments for several years. If you wrongly pay contributions, you build up statutory entitlements you may not want and lose part of your refund claim with every year that passes. This article explains how the status determination procedure under § 7a SGB IV works, what the pension insurance authority looks at and what you can do if your status was wrong.

§ 7a
SGB IV: for managing shareholders of a GmbH, the health insurer files the status determination application itself if the employer's registration shows this
4 years
after the end of the calendar year is the usual limitation period for contribution claims (§ 25 SGB IV) and for refund claims (§ 27 SGB IV)
1 %
late payment surcharge for each month or part of a month on back-assessed contributions (§ 24 SGB IV)

What status determination is about

Social security contributions are owed by people in employment. Under § 7 SGB IV, employment means dependent work, typically marked by being bound by instructions and integrated into someone else's organisation. For the managing director of a GmbH this line is hard to draw, because he or she runs the company. Whether the director is nevertheless an employee is decided by Deutsche Rentenversicherung Bund in the status determination procedure, based on an overall assessment of all the circumstances of the individual case (§ 7a Abs. 2 SGB IV). The other social insurance bodies, including the health insurer and the Federal Employment Agency, are bound by that decision.

The decision is therefore the only reliable basis. An opinion from the payroll office, a sentence in the service agreement or years of established practice do not replace it.

When the procedure starts automatically

Any party involved can apply to Deutsche Rentenversicherung Bund for a status determination in writing or electronically (§ 7a Abs. 1 Satz 1 SGB IV). For shareholder managing directors there is an additional trigger: if the employer's registration shows that the employee is a managing shareholder of a GmbH, the health insurer, acting as collecting agency, must file the application itself (§ 7a Abs. 1 Satz 2 SGB IV). The same applies to spouses, civil partners and descendants of the employer.

The mandatory procedure therefore only kicks in if the registration is flagged correctly. A shareholder managing director who was never registered because he or she was classed as self-employed from the outset, or who acquired shares only later, often has no decision at all. Under case law, non-shareholder managing directors are almost always employees; they can apply, but rarely need to.

What the pension insurance authority looks at: control

According to the settled case law of the Federal Social Court (Bundessozialgericht), one question matters most for a shareholder managing director: can he or she block instructions from the shareholders' meeting that he or she does not agree with? What counts is the control anchored in the articles of association, not day-to-day practice, industry expertise or the role as the driving force of the business.

  • At least half of the share capital. A director holding at least half of the share capital, and with it at least half of the voting rights under the articles of association, can block resolutions against him or her and is usually self-employed.
  • Minority with a comprehensive blocking minority. If the articles of association provide for a blocking minority covering all of the company's affairs, a minority shareholder can also be self-employed. A blocking minority limited to individual resolutions is usually not enough.
  • Minority without such a blocking minority. This is usually employment, even if the director effectively runs the business alone.
  • Agreements outside the articles. According to case law, voting or trust agreements not contained in the articles of association are usually not capable of establishing control, because they remain terminable at least for good cause and therefore do not secure control permanently.
CONTROL WITHIN THE GMBH AND TYPICAL STATUS
MAJORITY OR HALF
usually self-employed

Can block instructions from the shareholders' meeting

MINORITY WITH COMPREHENSIVE BLOCKING MINORITY
usually self-employed

Only if anchored in the articles and covering all company affairs

MINORITY WITHOUT BLOCKING MINORITY
usually employed

Even if the director effectively runs the business alone

NON-SHAREHOLDER DIRECTOR
usually employed

Without shares, no control over the company

How the procedure works

Deutsche Rentenversicherung Bund requests the information and documents it needs, usually the articles of association, the list of shareholders and the managing director's service agreement, and sets a reasonable deadline (§ 7a Abs. 3 SGB IV). Before deciding, it states the decision it intends to make and the facts it relies on, and gives the parties an opportunity to comment (§ 7a Abs. 4 SGB IV). This hearing is the point at which factual errors are still easy to correct.

The decision can be challenged by objection and legal action, both with suspensive effect (§ 7a Abs. 6 SGB IV). If the authority fails to decide, an action to compel a decision is admissible after just three months. Two rules matter for newly appointed directors:

  • Application within one month. If the application is filed within one month of taking up the role and the authority finds employment, compulsory insurance starts only when the decision is notified, provided the director consents and has comparable cover against illness and for old age for the interim period (§ 7a Abs. 5 SGB IV).
  • Decision before taking up the role. On application, the authority decides before the role begins, based on the planned arrangements (§ 7a Abs. 4a SGB IV). This rule is temporary and, under § 7a Abs. 7 SGB IV, ceases to apply at the end of 30 June 2027.

If the status was wrong: two directions

Treated as self-employed, actually employed. If the pension insurance authority later finds employment, for example during a payroll audit, it claims the contributions retrospectively. Contribution claims become time-barred four years after the end of the calendar year in which they fell due, or thirty years for contributions withheld intentionally (§ 25 Abs. 1 SGB IV). On top of this comes a late payment surcharge of 1 % for each month or part of a month (§ 24 Abs. 1 SGB IV). It is waived only if the GmbH shows credibly that it was unaware of the payment obligation through no fault of its own (§ 24 Abs. 2 SGB IV). A further burden for the GmbH: it may recover the employee's share only from the next three salary payments, and after that only if the deduction was missed through no fault of its own (§ 28g SGB IV). The GmbH bears the rest itself.

Treated as employed, actually self-employed. In that case contributions were paid wrongly. They are generally refundable to whoever bore them, so proportionately to the GmbH and the managing director (§ 26 Abs. 2 and 3 SGB IV). The claim becomes time-barred four years after the end of the calendar year in which the contributions were paid (§ 27 Abs. 2 SGB IV). It carries interest at 4 %, but only from the end of the calendar month after a complete refund application is received (§ 27 Abs. 1 SGB IV). Two limitations matter: if the insurer has provided or still has to provide benefits on the basis of the contributions or for the period concerned, a refund is excluded to that extent (§ 26 Abs. 2 SGB IV). And compulsory pension insurance contributions that were not challenged at the latest at the next payroll audit may be deemed to have been paid correctly (§ 26 Abs. 1 SGB IV, protection of legitimate expectations under § 45 Abs. 2 SGB X). Independently of this, the claim becomes time-barred year by year: anyone who waits too long loses the oldest part.

WRONG STATUS: WHAT EACH DIRECTION CAN COST
WRONGLY SELF-EMPLOYED

Back payment

Current year plus usually four calendar years back, thirty if intentional. Late payment surcharge of 1 % per month. Employee's share only partly recoverable.

WRONGLY EMPLOYED

Refund

Generally current year plus four calendar years back. Interest at 4 % from a complete application. Excluded where benefits were or are to be provided. Older years lapse.

Simplified overview based on §§ 24 to 28g SGB IV. Suspension and start of the limitation period depend on the individual case.

What status means for retirement provision

The status question is not just a payroll matter. It determines the foundation on which retirement provision rests. An employed managing director is compulsorily insured in the statutory pension scheme and can use company pension schemes like any employee, including the exemption from social security contributions up to 4 % of the contribution assessment ceiling, which is €338 a month in 2026. A self-employed shareholder managing director, by contrast, as a rule pays no compulsory statutory pension contributions from this role. He or she has to organise provision entirely on their own, and the GmbH's pension commitment, made for business reasons, becomes the central building block, for example through a reinsured Unterstützungskasse, with contributions deductible as business expenses under § 4d EStG and the appropriateness of the pension as the yardstick.

A shareholder managing director planning retirement provision should therefore start by putting the status decision on the table. If the shareholding changes, for example through a sale of shares, the admission of a partner or a succession arrangement, the status may change too, and the plan needs to be reassessed. How the three levels of provision fit together for shareholder managing directors is set out in my article on retirement provision for shareholder managing directors, and the mechanics of the Unterstützungskasse in my article on the Unterstützungskasse for shareholder managing directors.

What you should check now

  • Is there a decision? If not, discuss with your tax advisor whether an application under § 7a SGB IV makes sense.
  • Does the decision still fit? Compare the articles of association, the list of shareholders and the service agreement with the position on which the decision was based.
  • Does payroll match the decision? Discrepancies between the decision and payroll are the most common starting point for back payments or refunds.
  • Are deadlines running? Where contributions may have been paid wrongly, another calendar year lapses at every year end.
Key takeaway

Whether a managing director is subject to social security contributions depends, according to case law, on the control anchored in the articles of association, determined with binding effect by Deutsche Rentenversicherung Bund under § 7a SGB IV. A wrong status is expensive in both directions: as a back payment with late payment surcharges, or as a refund claim that becomes time-barred year by year. The status decision therefore belongs at the start of any retirement planning, before contributions and funding routes are decided.

Frequently asked questions

Does every shareholder managing director have to go through status determination?

If the employer registers a managing shareholder of a GmbH for social security, the health insurer must file the application with Deutsche Rentenversicherung Bund itself (§ 7a Abs. 1 Satz 2 SGB IV). Independently of this, any party involved can apply. If there is no decision, for example because the director was never registered or acquired shares only later, it makes sense to clarify the position with your tax advisor.

From what shareholding is a managing director self-employed?

According to the settled case law of the Federal Social Court, a shareholder managing director is usually self-employed if he or she holds at least half of the share capital or has a blocking minority anchored in the articles of association that covers all of the company's affairs. Minority shareholders without such a blocking minority are usually employees. The binding decision is made case by case by Deutsche Rentenversicherung Bund.

Can I get wrongly paid social security contributions back?

Generally yes: wrongly paid contributions are refundable to whoever bore them, so proportionately to the GmbH and the managing director (§ 26 SGB IV). The claim becomes time-barred four years after the end of the calendar year of payment and carries interest at 4 % from the end of the calendar month after a complete application is received (§ 27 SGB IV). A refund is excluded to the extent that benefits have been or are to be provided on the basis of the contributions or for the period concerned. Pension insurance contributions that were not challenged at the latest at the next payroll audit may be deemed to have been paid correctly.
